Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by LexCommons ("we," "us," "our"), including Law School Commons (lawschoolcommons.com), AdminCommons (admin.lexcommons.org), CiteCommons (legalcitationchecker.org), and the LexCommons hub (lexcommons.org) (collectively, the "Services"). By accessing or using any of our Services, you agree to be bound by these Terms.
- You must be 18 or older to use our Services
- You are responsible for maintaining the security of your account
- Our AI tools assist learning — they do not replace professional legal judgment
- Institutional data belongs to the institution
- We may suspend accounts that violate these Terms
1. Eligibility
You must be at least 18 years old to create an account and use our Services. By creating an account, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are accessing the Services on behalf of an institution, you represent that you have the authority to bind that institution to these Terms.
2. Account Registration and Security
To access certain features, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@lexcommons.org if you become aware of any unauthorized use of your account.
We reserve the right to suspend or terminate accounts that are used in violation of these Terms, that pose a security risk, or that have been inactive for more than 12 months.
3. Description of Services
Law School Commons (lawschoolcommons.com)
An AI-assisted study platform for law students and professors. Features include AI tutoring, adaptive quizzes, study materials, progress tracking, and professor content management tools. AI-generated content is intended as a study aid and does not constitute legal advice or replace independent legal analysis, critical thinking, or professional judgment.
AdminCommons (admin.lexcommons.org)
An institutional administration hub for law schools. Features include employee management, student records, financial aid tracking, facilities management, event planning, document management, and budget tools. AdminCommons processes sensitive data including education records (protected under FERPA) and, where applicable, protected health information (subject to HIPAA). Access is restricted by role-based permissions.
CiteCommons (legalcitationchecker.org)
A legal citation checking and formatting tool. CiteCommons assists with Bluebook citation formatting but does not guarantee accuracy. Users are responsible for verifying all citations independently.
4. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable law or regulation
- Attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems
- Interfere with or disrupt the integrity or performance of the Services
- Use automated means (bots, scrapers, crawlers) to access the Services without our written permission
- Share your account credentials with others or allow others to access your account
- Upload malicious code, viruses, or any harmful content
- Use AI-generated content from our Services to misrepresent your own work in academic submissions, unless permitted by your institution's academic integrity policy
- Access, download, or export data in bulk for purposes unrelated to your authorized use
- Use the Services to harass, abuse, or harm other users
5. Institutional Use and Data Ownership
When an institution (law school, university, or other educational entity) uses AdminCommons or integrates Law School Commons into its curriculum:
- The institution retains ownership of all institutional data entered into the Services
- The institution is responsible for determining which users receive access and at what permission level
- The institution acts as the data controller for student education records under FERPA
- We act as a school official with a legitimate educational interest, as defined under FERPA, when processing education records on behalf of the institution
- Where protected health information is processed, the institution must execute a Business Associate Agreement (BAA) with us prior to any PHI being entered into the system
Upon termination of an institutional agreement, we will provide the institution with a complete export of its data and delete all institutional data from our systems within 90 days, subject to legal retention requirements.
6. AI Disclaimer
Our Services use artificial intelligence to assist with learning, citation checking, and administrative tasks. AI-generated content may contain errors, omissions, or inaccuracies. Our AI tools are designed as study companions and productivity aids — they do not replace critical thinking, independent legal analysis, or professional judgment. You are solely responsible for verifying the accuracy of any AI-generated content before relying on it for academic, professional, or legal purposes. We do not guarantee that AI-generated content is correct, complete, or current.
7. Intellectual Property
All content, software, design, and functionality of the Services (excluding user-submitted content) is owned by LexCommons and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Services without our written permission.
Content you create or upload to the Services (study notes, documents, course materials) remains your intellectual property. By uploading content, you grant us a limited, non-exclusive license to store, process, and display that content as necessary to provide the Services.
8. Privacy
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information, including our commitments under FERPA and HIPAA. By using the Services, you acknowledge that you have read and understood our Privacy Policy.
9. Payment and Subscriptions
Certain features of the Services may require a paid subscription. If applicable, subscription terms, pricing, and billing cycles will be presented to you at the time of purchase. You may cancel a subscription at any time; cancellation takes effect at the end of the current billing period. We reserve the right to change pricing with 30 days' notice to existing subscribers.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEXCOMMONS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
12. Indemnification
You agree to indemnify, defend, and hold harmless LexCommons and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your use of the Services, or your violation of any applicable law or the rights of any third party.
13. Termination
We may terminate or suspend your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.
You may terminate your account at any time by contacting support@lexcommons.org. We will process deletion of your personal data in accordance with our Privacy Policy and applicable law.
14. Dispute Resolution
Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the state where LexCommons maintains its principal place of business. Each party shall bear its own costs of arbitration.
Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction to protect intellectual property rights or confidential information.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which LexCommons maintains its principal place of business, without regard to conflict of law principles.
16. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email to registered users at least 30 days before the changes take effect. Continued use of the Services after the effective date of changes constitutes acceptance of the modified Terms. If you do not agree with the modified Terms, you must discontinue use of the Services.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy and any applicable institutional agreements or BAAs, constitute the entire agreement between you and LexCommons regarding your use of the Services and supersede all prior agreements and understandings.
